IOA Special Member Meeting:
Vote on Amendments to Bylaws and Articles of Incorporation

Tuesday, 16 November 2021
Held Virtually at 8:00 AM PT | 11:00 AM ET | 6:00 PM GMT

The IOA Board of Directors is calling on all voting members to cast their vote on seven proposals regarding the IOA Bylaws & Articles of Incorporation:

  • Proposal 1 – Name change and pronoun references
  • Proposal 2 – Membership meeting quorum
  • Proposal 3 – Membership action by written consent
  • Proposal 4 – Composition of Board of Directors
  • Proposal 5 – Officer positions and succession
  • Proposal 6 – Nominations and elections process
  • Proposal 7 – Balance of proposed amendments

All IOA members are welcome and encouraged to attend the meeting. Only Full, Retired, and Distinguished Emeritus Members are entitled to vote. Please review the proposed bylaws amendments and related documentation prior to the meeting.

IOA voting members are encouraged to participate in a live vote during the virtual Special Member Meeting taking place on Tuesday, 16 November, or vote online via proxy. Participants have the option to vote “For” or “Against” each proposal.

Special Member Meeting Rules

The Board has adopted Special Rules of Order to be applicable solely to this Special Meeting. Please review these rules in advance of the meeting.

Special Member Meeting Agenda

  • IOA President will convene the meeting
  • IOA Secretary will determine if a quorum* of voting members is present or represented by proxy
    • If a quorum is not present, a majority of voting members present may recess the meeting to another time and place or adjourn the meeting
    • If a quorum is present, the meeting will proceed
  • Those attending live will be offered the opportunity to cast a vote on each proposal
  • Any proxies previously submitted by voting members in attendance live will be set aside by the Secretary and not counted
  • All votes cast live or by proxy will be counted
  • The Secretary will announce the outcome of each vote
  • The President will call for the meeting to be adjourned

Requirements for Revisions to be Approved

Under the current Bylaws, the IOA Bylaws may be repealed or amended, and/or additional Bylaws may be adopted at any meeting of the members of the Association at which a quorum shall be present, by a majority vote of the voting members present or represented by proxy, provided that the substance of any proposed amendment shall have been set forth in the notice of the meeting.

*Quorum

A quorum for the purpose of the legal transaction of business at any meeting of the membership shall consist of twenty-five percent (25%) of the total number of Members and Retired Members, as determined by the number of Members and Retired Members present and Members and Retired Members duly represented by proxy.
